Terms of Service

These Terms of Service (“Terms”) govern your access to and use of BestSelfDirected.com and related services (collectively, the “Services”) provided by PROSPER ENTITY, L.L.C. (“Company,” “we,” “us,” “our”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1) Eligibility & Account

• You must be at least 18 years old to use the Services.
• You are responsible for maintaining the confidentiality of any account credentials and for all activity under your account.
• We may update, suspend, or terminate the Services or your access at any time to protect users or comply with law.

2) Permitted Use

• You may use the Services for lawful purposes only and in accordance with these Terms.
• You may not: (a) attempt to gain unauthorized access; (b) interfere with or disrupt the Services; (c) reverse engineer, scrape, or harvest data except as expressly permitted; or (d) use the Services to send unlawful, harmful, or misleading content.

3) Educational-Only; No Advice

The Services provide general educational information related to self-directed retirement accounts and real estate investing. We do not provide investment, legal, accounting, or tax advice, and we are not a fiduciary, custodian, or broker-dealer. Decisions you make are your own. Consult qualified professionals about your particular situation, including IRS rules on prohibited transactions. No performance is promised or guaranteed.

4) Communications; E-Sign Consent

By providing your email or phone number, you consent to receive communications from us electronically (email, SMS/text, in-app). You agree that electronic signatures and records associated with the Services satisfy any legal requirements for writing or signature. You can withdraw consent by contacting us, though certain notices may be required to use the Services.

5) Mobile Messaging (SMS) Terms

If you opt in to receive text messages, you agree to receive recurring messages related to our Services (e.g., reminders, updates, educational content, and occasional offers). Message frequency varies. Message & data rates may apply. For help, reply HELP or contact [email protected]. To stop messages, reply STOP at any time. Carriers are not liable for delayed or undelivered messages.

No mobile information will be shared with third parties/affiliates for marketing/promotional purposes. Information sharing to subcontractors in support services (e.g., customer service) is permitted. All other use case categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties (excluding aggregators and providers of the text message services).

6) Payments & Refunds

Fees (e.g., onboarding/consulting or subscription fees) will be disclosed at the point of purchase and are billed via our payment processor. Unless stated otherwise in the specific offer, fees are non-refundable once services are delivered or materials are accessed.

7) Intellectual Property

The Services, including text, graphics, videos, logos, and software, are owned by or licensed to the Company and are protected by law. You are granted a limited, revocable, non-transferable license to access and use the Services for personal or internal business purposes. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.

8) User Content

If you submit content (e.g., questions, reviews, files), you represent you have the necessary rights and that your content is accurate and lawful. You grant us a non-exclusive, worldwide license to use, host, store, reproduce, and display such content solely to operate and improve the Services.

9) Third-Party Services

The Services may reference or integrate third-party sites, tools, or service providers (e.g., webinar hosts, CRMs, payment processors). We are not responsible for third-party content or practices. Your use of third-party services is subject to their terms and privacy policies.

10) Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED, OR THAT RESULTS WILL MEET YOUR NEEDS.

11) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICES IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

12) Indemnification

You agree to defend, indemnify, and hold harmless the Company and our officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, losses, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

13) Governing Law; Arbitration; Class-Action Waiver

These Terms are governed by the laws of the State of Utah and the United States, without regard to conflicts of law rules. Any dispute arising out of or relating to the Services or these Terms will be resolved by binding, individual arbitration under the Federal Arbitration Act. The seat of arbitration will be Utah County, Utah. You and we waive any right to a jury trial and to participate in a class or representative action. You may opt out of arbitration within 30 days of first accepting these Terms by mailing a written notice to the address above.

14) Changes to the Services or Terms

We may update these Terms from time to time. The “Last updated” date reflects the latest revision. Material changes will be posted on this page and, when appropriate, notified through the Services. Your continued use after changes become effective constitutes acceptance.
